Job Mission/Purpose

The Associate General Counsel is responsible for providing legal services to AEV, AEV-managed BUs and other BUs (as may be requested) in order to ensure that the BU is protected from any form of exposure to legal risks through strict compliance with legal and regulatory requirements and timely and effective response to unforeseeable situations with potential significant legal implications to the BU.

Responsibilities

  1. Contracts ManagementHandles the preparation, drafting, review, and revision of contracts and other legal documents as may be requested by AEV, AEV-managed BUs and other BUs (as may be requested), based on the standards set by AEV Legal and the requirements of the requesting BU and in accordance with the existing corporate charter and By-Laws of the BU, any applicable laws, rules, and regulations, to ensure that the BU is shielded from potential liabilities or that such liabilities are within industry parameters or existing limits set by the Board of Directors or responsible officers of the BU. Update the KISS Templates (day-to-day document templates of the Aboitiz Group) from time to time.
  2. Special Project Management: Acts as the Legal Point of Contact(“POC”) handling the review of legal documents and assisting the responsible officers of AEV, AEV-managed BUs and other BUs (as may be requested) in proposing and negotiating the terms and conditions, or revisions thereof, contained in the documents prepared or reviewed, as the case may be, during conferences and meetings with other parties thereto in order to ensure that AEV, AEV-managed BUs and other BUs (as may be requested) interests are advanced.

  3. Knowledge Development and Sharing: Contributes to the legal knowledge center to ensure that the Group is updated on current legal trends, developments, and other relevant legal information that may provide opportunities to the Group and establishes a partnership with the Group and its responsible officers on the timely dissemination of information concerning the recent changes in applicable laws, legal and regulatory requirements affecting its business transactions

  4. External Counsel Management: Coordinates and oversees the successful provision of services rendered by the external legal counsel and other relevant firms or advisors employed to represent AEV, AEV-managed BUs and other BUs (as may be requested) and to protect AEV, AEV-managed BUs and other BUs (as may be requested) interests, and evaluates the same based on the standards set by AEV Legal and the requirements of AEV, AEV-managed BUs and other BUs (as may be requested). Develops relationships with external counsels to ensure favorable rates for the Aboitiz group.

Additional Responsibilities

  1. Team Initiatives Execution: Handles or supervises the execution of team initiatives as may be assigned by the Team Leader and ensures that a high rating in the Team's Scorecard is achieved.

  2. Disputes Management: Monitors ongoing litigation cases and potential disputes of AEV and AEV-managed BUs. Drafts demand letters and/or responses to potential litigants. Ensures that requirements of external counsel are met with respect to ongoing litigation cases.

  3. Team Management: Promotes the core values of AEV, fosters camaraderie among the Team, and optimizes the potential of each of the Team Members.

Bachelor's Degree in Legal Management or Political Science
