The Assistant Vice President - Litigation and Dispute Resolution is responsible for ensuring (by all reasonable means) that the Aboitiz Group (the “Group”) is protected from any exposure to all legal risks relating to actual, potential, or threatened litigation and is involved in ensuring that the Group adheres rigorously to legal/regulatory requirements.  He/She is a strategic legal partner to the Group senior leadership, by staying up to date on legal developments and providing assessment of current legal trends that expose the Group to litigation risks or provide opportunities for the Group.

 

Ensures that the Chief Legal Officer and Group Senior Leadership is kept fully abreast of the changes and impact of relevant legal knowledge, development and requirements, providing oral and written interpretations as necessary.  Assists and supports the Chief Legal Officer in assessing potential liabilities and rights of the Group in relation to legal disputes and in leading a rapid and effective response to unanticipated litigation or dispute-resolution proceedings (including, those arising from labor situations) that have potential significant legal implications for the Group.

The Assistant Vice President - Litigation and Dispute Resolution also oversees and provides support and guidance to the Senior and Associate Legal Counsels for Litigation. 

 

Key Resposibilities Include:

Legal Risk Management

  • Update/cascade to the business units of the Group current legal developments and other relevant legal information;
  • Develops an industry specific Legal Risk Register and educates/guides the Business Units in the implementation of mitigating actions and/or avoidance of risks;
  • Researches and analyzes the law on complex issues and writes a brief for review and discussion with the Chief Legal Officer;
  • Anticipates potential legal problems and, in consultation with Business Units and process owners, formulates management action to mitigate potential legal problems within the Group and develops strategies to avoid costly litigation and reduce potential areas of risk;
  • Ensures that Group senior leadership is kept fully abreast of the changes and impact of relevant legal knowledge, developments and requirements, providing appropriate oral and written interpretations as necessary;
  • Acts for and on behalf of the Group as necessary before the courts, legal committees, administrative boards and other quasi judicial bodies where the Group has initiated actions or in response to actions lodged against it;
  • Leads a rapid and effective response to situations where significant unanticipated legal threats to the Group arise, making recommendations to the Chief Legal Officer on the nature and timing of actions to be taken, with defined responsibilities, and as appropriate overseeing the effective execution of those actions;
  • Develops investigation processes and procedures to apply to breaches of Group policies, procedures or security;
  • Monitors possible areas of legal compliance risks and implementing corrective action plans for the resolution of current and potential problems.
  • In conjunction with the other members of the Legal Management Services team, reviews contracts of the Group to ensure that risks are minimized and are acceptable, the provisions conform to previous mandates of the relevant Business Unit, and that the liabilities agreed to are within industry parameters or conform to previous limits set by the relevant Business Unit.
  • Manages and monitors (in coordination with the relevant Business Units) the intellectual property registrations of the various trademarks, copyrights, trade names, brands, and corporate names used by the Group.
  • Assists the relevant Business Units in land acquisition and due diligence related thereto.  

Representations and External Relations

  • Facilitates discussions with industry players, government and other relevant external networks to promote a more conducive legal and regulatory environment in the Philippines for the Group.
  • Assist the Chief Legal Officer in managing the accreditation, selection and engagement of external legal counsel, as necessary, to represent the Group and protect the Group’s interests, oversees the successful provision of services to the Group by such firms or advisors, and evaluates external counsel’s quality of services and effectiveness;

Team Management

  • Develops clear responsibilities of team members to ensure role clarity and how they can add value as a member of the legal team
  • Inspires, leads and coaches team members to ensure effectiveness and efficiency in delivery to the function’s key responsibilities
  • Meets regularly with team members to keep them informed and to offer strategic advice as a mentor that will be valuable to each individual’s development and work aspiration
  • Inculcates the Aboitiz values and culture across the team and seek to optimize the engagement of all team members

Performance Measures

  • Stakeholder perception on quality, effectiveness, and timeliness of the legal advice and services rendered and substance of the contribution to the Group.
  • Achievement of Balanced Scorecard Goals
  • Rate of success in the negotiations and enforcement of the terms and conditions contained in the contracts, as well as, in closing transactions at terms substantially favorable to the Group.
  • Performance and delivery of the team.
  • Service level commitment rate.
  • Observance and compliance with the policies and rules and regulations of the Group.
  • On –time, accurate and complete DSR updates (personal and Team DSR).

 

Minimum Requirements:​​​​​​​

  • Juris Doctorate degree
  • 10 years of litigation experience
  • Outstanding oral and written communication skills, and experience collaborating with senior executives and cross-functional teams
